Doug Smith

Doug Smith is a Director in PwC’s Deals practice, focused in the capital markets practice and advises both public and private clients in the Technology, Media and Telecommunications, Industrial Products, Health Industries, and Consumer Markets sectors. He has provided advice in the context of technical accounting and financial reporting matters related to transactional filings with the SEC on Form S-1 (IPOs), Form S-4 (Mergers), Form 10 (Spin-Offs/Carve-outs) and under Rule 144A (Debt Offerings), in addition to recurring reporting on Form 10-K and Form 10-Q. Specific areas of expertise include pro forma financial statements, carve-out financial statements, non-GAAP financial measures, segment reporting, discontinued operations and business combinations.

Prior to returning to the Deals practice in July 2018, Mr. Smith was on tour in PwC’s National Quality Organization - SEC Services Group since June 2016. In this role, he served primarily as a consultant to PwC audit clients in the Industrial Products and Consumer Markets sectors, as well as a liaison between SEC Services and the Deals practice nationally. He is a licensed CPA in New York. Mr. Smith has spent 8 years with PwC, as well as three years in the external reporting and technical accounting group at a major specialty retailer prior to joining the Firm.
